Standard Engagement Agreement Longwood University Farmville, Virginia
This agreement dated (Today’s Date) is made by and between Longwood University, (herein referred to as “Purchaser”) and (Artist’s Name) (herein referred to as “Artist”) who mutually agree to the following terms and conditions.

Purchaser will provide house stage. Artist to provide full production, to include sound and lighting equipment and operation. Purchaser to provide general Artist hospitality (1 personal pizza per performing member, soft drinks, and stage water). Artist to complete breakdown and load out no later than (end time)

It is understood that the Artist executes this agreement as an independent contractor and is not an employee of the Purchaser. Artist shall have the exclusive control over the means, methods, and details of fulfilling his/her obligation under this contract, except for performance times and minimum length of presentation.
Artist agrees to perform and discharge all obligations as an independent contractor under any and all laws, whether existing or in the future, in any way pertaining to the engagement hereunder, including but not limited to Social Security laws, Workman’s Compensation Insurance, Income Taxes, Stage Employment Insurance taxes or contributions, and Public Liability Insurance. Artist will hold Purchaser harmless against any such laws as well as against all Union claims for welfare payments.
Artist represents that in performing his/her act/production under the terms of the contract, he/she is not infringing on the property right, copyright, patent right, or any other right of anyone else; and if any suit is brought or claim made by anyone that anything in conjunction with the ownership or the presentation of said act or appearance is an infringement on the property right, copyright, patent right, or other rights. Artist will indemnify the Purchaser against any and all loss, damage cost, attorney fees or other loss whatsoever by reason of Artist’s performing, permitting, or allowing presentation of the act/production called for herein.
The representative of Purchaser in signing this agreement warrants that he/she signs as a properly authorizes representative of the Purchaser and does not assume any personal liability for meeting the terms of this contract.
It is understood and agreed that the Purchaser shall not be responsible for any loss of, or damage to, the property of the Artist, or for the acts or omissions of the audience.
If, in the sole judgment of the Purchaser, it becomes necessary to cancel the engagement to protect life, Purchaser’s property, or the property of others, or facilities become unavailable or inaccessible for reason(s) of inclement weather, fire, other acts of God, public disturbance, or similar occurrences beyond the control of Purchaser, then the Purchaser may do so without liability to the Artist.
Any failure of Artist to perform may be excused only for proven detention by sickness or injury, civil tumult or riot, epidemics, acts of God, or other conditions beyond the control of Artist. Artist or Artist’s agent must notify Purchaser forthwith of any reason, which might result in Artist’s failure to perform on the scheduled date. Purchaser reserves the right to cancel the performance or to substitute any other individual or group performance for Artist in the event that Artist is not able to perform as scheduled.
In event of cancellation caused by Artist’s unexcused inability to perform, Purchaser reserves the right to cancel the entire contract and be reimbursed by Artist for any monies incurred in the advertising, promotion, reservation and technical rentals & set-up of facilities for the production, and any other out-of-pocket expenses incurred by Purchaser, as well as the right to enforce any other remedies allowed by law, and Purchaser will be relieved of any responsibility under this Agreement in such event.
The engagement herein contracted must be conducted in compliance with Longwood University rules and procedures and must comply with all laws and statutes of the Commonwealth of Virginia.
Both parties agree that timing, schedule, and professionalism are paramount to a successful program. In the event that Artist is not ready to perform at start time, or if any performing member(s) is/are not present, or if Artist arrives at the performance site in such a condition as to appear to Purchaser’s professional Security personnel to be incapable of performing in a reasonably acceptable manner, then Artist shall be deemed to have committed a material breach of this Agreement and Purchaser shall have the absolute right in its sole discretion to cancel the performance or terminate the performance in progress, and to refuse payment accordingly.

Any change in performing personnel may result in a reduction of the performance fee listed on page 1 of this Agreement, or in cancellation of this Agreement at the option of the Purchaser.
This Agreement shall constitute the complete and final agreement of the parties hereto thereby superseding all other contracts, memoranda, or agreements, whether written or oral, which pertain to the subject matter of the Agreement. Any modification to this Agreement must be in writing and signed by the parties hereto. This Agreement shall be interpreted and rights of the parties determined according to the laws of the Commonwealth of Virginia.
